This announcement is dated 12 August 2026 (“Announcement“).

 

We refer to the Company’s announcements dated 4 August 2026, 5 August 2026 and 11 August 2026 in relation to the Proposed Private Placement (“Earlier Announcements“). Unless otherwise stated, all defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements.

 

On behalf of the Board, AmInvestment Bank wishes to announce that Bursa Securities had vide its letter dated 12 August 2026, resolved to approve the listing and quotation of up to 94,430,870 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:-

 

1. VLB and AmInvestment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

 

2. VLB and AmInvestment Bank to inform Bursa Securities upon the completion of the Proposed Private Placement;

 

3. VLB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and

 

4. VLB to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders of VLB pursuant to Sections 75 and 76 of the Act, in the event the current General Mandate expires prior to the completion of the Proposed Private Placement.
